Terms & Conditions

1. Acceptance
   Any quote, order, or purchase constitutes your acceptance of these Terms. No additional or conflicting terms (including those on your purchase order) apply unless we expressly agree in writing.

2. Quotes
   All quotes are valid for 30 days from issuance unless otherwise stated. Prices, availability, and freight estimates are subject to change without notice until an order is confirmed in writing by Seller.

3. Pricing & Payment
   Prices are quoted in USD and do not include taxes, duties, or shipping/freight charges unless explicitly stated.
   Payment terms are net 30 days from invoice date for approved accounts, or as otherwise agreed. Full payment is required prior to shipment or pickup for non-approved accounts. Late payments accrue interest at 1.5% per month.

4. Shipping & Delivery
   All sales are FOB Seller’s yard/facility (our location). Title and risk of loss pass to Buyer upon loading.

   • Large/heavy items (rail, frogs, switch points, etc.) are shipped via semi-truck freight carrier at Buyer’s expense unless pickup is arranged.

   • Buyer is responsible for all freight charges, unloading, and any accessorial fees (detention, re-delivery, etc.).

   • Buyer may arrange own transportation/pickup at our facility by appointment. We load Buyer’s trailer at no charge if safe and appropriate.
     Delivery dates are estimates only; Seller is not liable for delays due to carriers, weather, or other causes beyond our control.

5. Inspection & Claims
   Buyer must inspect goods immediately upon receipt and note any damage, shortage, or nonconformity on the carrier’s delivery receipt. Claims for visible damage/shortage must be reported to Seller in writing within 48 hours of delivery. Concealed damage claims must be reported within 5 days. Failure to comply waives all claims.

6. Warranties & Returns
   All materials are sold "AS IS" with no warranties, express or implied, including merchantability or fitness for a particular purpose. Relay/used materials are sold with no guarantee of condition beyond visual inspection at time of sale. No returns or cancellations are accepted without prior written approval from Seller.

7. Limitation of Liability
   Seller’s total liability shall not exceed the purchase price of the goods in question. In no event shall Seller be liable for indirect, consequential, incidental, or punitive damages, including lost profits, business interruption, or project delays.

8. Force Majeure
   Seller is not liable for failure to perform due to acts of God, strikes, supply shortages, carrier issues, government regulations, or other events beyond our reasonable control.

9. Governing Law
   These Terms are governed by the laws of the State of [Your State], without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of [Your County/State].

10. Entire Agreement
    These Terms constitute the entire agreement between the parties and supersede all prior understandings. No modification is effective unless in writing and signed by Seller.

By placing an order or accepting a quote, you acknowledge that you have read, understood, and agree to these Terms.
